This EULA is entered into between you and Daily Gaming LLC. This EULA is not an agreement with Apple Inc., Google LLC, or any other app marketplace distributor ("Distributor"). Daily Gaming, not the Distributor, is solely responsible for the App and its content.
The Distributor has no obligation whatsoever to furnish any maintenance or support services with respect to the App. The Distributor is not a party to this EULA and is not bound by any of its terms.
Subject to your compliance with this EULA and the Daily Gaming Terms of Service, Daily Gaming grants you a limited, non-exclusive, non-transferable, revocable license to:
This license does not include the right to sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the App. Any rights not expressly granted in this EULA are reserved by Daily Gaming.
You may not:
The App, including all content, features, software, graphics, logos, and design, is owned by Daily Gaming LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
This EULA does not convey any ownership interest in the App to you. Your license rights are limited to those expressly stated in Section 2.
Daily Gaming, not any Distributor, is solely responsible for providing maintenance and support for the App. The Distributor has no obligation to provide any maintenance or support services. If you have questions, issues, or require support for the App, contact Daily Gaming at support@daily-gaming.com.
Daily Gaming may from time to time release updates to the App. Updates may be required to continue using the App. Daily Gaming is not obligated to provide any specific update or to maintain support for any prior version of the App.
Daily Gaming, not any Distributor, is responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify the applicable Distributor, and the Distributor may refund any applicable purchase price for the App. To the maximum extent permitted by applicable law, the Distributor will have no other warranty obligation whatsoever with respect to the App.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DAILY GAMING DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Daily Gaming, not any Distributor, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App. Such claims include but are not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Daily Gaming, not any Distributor, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
You represent and warrant that:
The App may use or integrate third-party services, including but not limited to payment processors, cloud services, analytics, and geolocation services. Your use of such third-party services is subject to the applicable third-party terms and privacy policies. Daily Gaming is not responsible for the practices or content of any third-party services.
By submitting content through the App (such as result photos), you grant Daily Gaming a non-exclusive, royalty-free, worldwide license to use, store, display, and process that content solely for the purpose of operating, improving, and providing the Platform services. You represent that you own or have the right to submit any content you provide and that your content does not violate any third party's rights.
This EULA is effective until terminated. Your license rights under this EULA will automatically and immediately terminate without notice from Daily Gaming if you breach any term of this EULA or the Daily Gaming Terms of Service. Upon termination, you must cease all use of the App and delete all copies of the App from your devices.
Daily Gaming may also terminate this license at any time with or without cause upon notice to you. Sections of this EULA that by their nature should survive termination will survive, including Sections 4, 6, 7, 8, 13, 14, and 15.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAILY GAMING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.
DAILY GAMING'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THIS EULA OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP, OR (B) ONE HUNDRED DOLLARS ($100.00).
You agree to indemnify, defend, and hold harmless Daily Gaming LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use or misuse of the App; (b) your violation of this EULA; (c) your violation of any applicable law or third-party rights; or (d) any content you submit through the App.
This EULA is governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising under this EULA are subject to the binding arbitration and class action waiver provisions in Section 19 of the Daily Gaming Terms of Service, which are incorporated herein by reference.
If you downloaded the App from the Apple App Store, the following additional terms apply and are required by Apple:
If you downloaded the App from Google Play, your use of the App is also subject to the Google Play Terms of Service. In the event of any conflict between this EULA and the Google Play Terms of Service, the Google Play Terms of Service shall control with respect to your use of Google Play, and this EULA shall control with respect to your use of the App itself.
If any provision of this EULA is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
This EULA, together with the Daily Gaming Terms of Service and Privacy Policy, constitutes the entire agreement between you and Daily Gaming with respect to the App and supersedes all prior or contemporaneous agreements, representations, or understandings regarding the App.
